Terms & Conditions

These Terms & Conditions create a legally binding agreement between you and the relevant Oto entity. By downloading the mobile application, creating an account, or using the service, you agree to these Terms.

1. Who You Contract With

2. Important Health Disclaimer

Oto provides self-guided audio sessions, practical education and optional reminders for people who experience tinnitus. It is a general wellbeing resource and is not intended to diagnose, cure, mitigate, treat, or prevent tinnitus or any disease or condition.

Oto has not been cleared or approved by the FDA. The content is not a substitute for professional medical advice or care. Do not use the App in an emergency; call emergency services.

The FDA provides examples of low-risk software functions where it exercises enforcement discretion (skills practice, education, reminders). Oto offers general wellbeing content without diagnosis or treatment claims.

3. Eligibility & Account

  • You must be at least 18 years old to create an account
  • You are responsible for all activity under your credentials and keeping them confidential

4. Licence to Use the App

Oto grants you a limited, non-exclusive, non-transferable, revocable licence to use the App for personal, non-commercial purposes in accordance with these Terms.

Oto may modify, suspend, or discontinue the App (in whole or part) for maintenance, security, or legal reasons without liability.

5. Fees & Subscriptions

  • Access to locked content requires an Oto subscription; up-to-date prices are displayed at checkout and may vary by currency
  • For self-pay consumers, all payments and indirect taxes are processed by Apple App Store or Google Play
  • The Oto subscription is not available to US residents; US users receive access through participating healthcare providers
Subscriptions renew automatically unless cancelled. Fees already paid are non-refundable except where local consumer law says otherwise.

6. Privacy & Data Protection

  • Compliance with UK GDPR and, where applicable, EU GDPR
  • Oto Health Inc. signs a HIPAA Business Associate Agreement (BAA) with every US clinic
  • Protected health information is handled according to the BAA and Privacy Policy
  • Data transfers from UK/EU to US use standard contractual clauses or equivalent safeguards

7. Third-Party Services

The App may interface with third-party applications, devices, or clinic portals.

Oto does not control and is not responsible for any third-party content, terms or privacy practices.

8. Updates to These Terms

We may amend these Terms from time to time. Material changes will be notified in-app or by email. Continued use of the App after the effective date constitutes acceptance of the updated Terms.

9. Termination

  • Either party may terminate with 30 days' written notice; subscription fees remain non-refundable
  • Oto may terminate immediately if you materially breach these Terms
  • Upon termination, your licence ends and Oto may delete or anonymise your data per the Privacy Policy

10. Force Majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, epidemics, strikes, internet outages or government action.

11. Liability & Indemnity

  • Our total aggregate liability to you is limited to the subscription fees paid by (or attributable to) you in the preceding 12 months
  • Nothing limits liability for death, personal injury from negligence, fraud, or unlimitable liabilities
  • You indemnify Oto against losses from App misuse or third-party rights infringement
  • Any claim must be brought within 12 months of the cause of action

12. Governing Law & Dispute Resolution

Consumers & Patients Outside US

These Terms are governed by English law and the courts of England & Wales have exclusive jurisdiction.

US Clinic Patients

Disputes are subject to binding arbitration under JAMS Rules in Delaware. Class-action waivers apply.
